Website & Participation Terms

Use the platform with purpose.

These Terms of Use govern access to African Coalition for Development websites, forms, applications, events, media platforms, donation pages, and other ACD-controlled digital services.

Responsible participation

ACD provides digital spaces for information, civic engagement, development programs, giving, recognition, events, media, and partnership. These Terms are designed to protect participants, communities, contributors, donors, partners, and the integrity of ACD’s mission.

Acceptance of terms

African Coalition for Development (“ACD,” “we,” “our,” or “us”) is a United States 501(c)(3) nonprofit organization. By visiting, accessing, submitting information through, purchasing through, donating through, or otherwise using an ACD-controlled website or digital service, you agree to these Terms of Use and the Privacy Policy.

If you do not agree, do not use the relevant website or service. Additional written terms may apply to a grant, program, event, nomination, partnership, volunteer role, ambassador role, media engagement, sponsorship, purchase, or other transaction. Where additional terms conflict with these Terms, the more specific written terms govern that activity.

Eligibility and authority

You must be legally capable of entering into these Terms. If you use an ACD service on behalf of an organization, you represent that you have authority to bind that organization. Youth participation may require a parent, guardian, school, or program representative to provide consent or complete additional documentation.

You are responsible for providing accurate information and for updating material information when required for an application, registration, nomination, donation, partnership, or program.

Website purpose and availability

ACD’s websites provide information about our mission, programs, projects, grants, recognition initiatives, events, media, publications, merchandise, volunteer opportunities, partnerships, and giving options. Website content is provided for general informational and engagement purposes.

We may modify, suspend, withdraw, correct, or discontinue any page, feature, form, publication, application period, event, program, or service at any time. We do not guarantee that every feature will always be available, uninterrupted, secure, or error-free.

Permitted use

You may use ACD websites for lawful, mission-consistent purposes, including learning about ACD, submitting legitimate inquiries or applications, making authorized donations or purchases, registering for events, sharing public ACD pages, and engaging with published materials for personal, educational, journalistic, or organizational reference.

Any reuse of ACD names, logos, photographs, video, publications, reports, or campaign materials beyond ordinary linking or legally permitted use requires prior written permission unless the relevant resource expressly states otherwise.

Prohibited conduct

You may not use an ACD website or service to:

  • Violate any law, regulation, court order, contractual duty, or third-party right.
  • Submit false, misleading, fraudulent, defamatory, discriminatory, hateful, threatening, exploitative, or unlawful content.
  • Impersonate another person or organization, misrepresent affiliation, manipulate nominations, or provide fabricated credentials, references, impact claims, sources, or documents.
  • Upload malware, interfere with security, probe vulnerabilities, overwhelm services, scrape protected data, or attempt unauthorized access.
  • Harvest personal information, send spam, conduct unauthorized fundraising, or use ACD contacts for unrelated commercial solicitation.
  • Use ACD’s name, identity, logo, status, campaigns, or relationships to imply endorsement or authorization that has not been granted in writing.
  • Exploit, endanger, identify, or expose a child, survivor, vulnerable person, confidential source, beneficiary, or community without appropriate authorization and safeguards.
Mission and dignity standard

ACD may reject or remove conduct that undermines community dignity, factual integrity, safeguarding, nonprofit compliance, or public trust, even when the conduct is not specifically listed above.

Applications, nominations, and programs

Submitting a grant application, nomination, volunteer form, ambassador application, partnership inquiry, media application, event registration, project request, or other form does not guarantee acceptance, funding, recognition, publication, participation, sponsorship, employment, or any other outcome.

ACD may verify information, request supporting materials, contact references, assess eligibility, conduct due diligence, reject incomplete or misleading submissions, change timelines, and make decisions based on available resources, program priorities, risk, mission alignment, and published criteria. Unless otherwise stated in writing, decisions are final.

Donations and tax matters

Donations are voluntary and support ACD’s charitable mission. ACD may apply unrestricted donations where they are most needed. Restricted gifts are subject to written acceptance, applicable law, donor communications, and ACD’s ability to carry out the stated purpose. If a restriction becomes impracticable or impossible, ACD may seek donor consent or take another legally appropriate action.

Donations are generally nonrefundable except where required by law, a duplicate or processing error occurred, or ACD determines that a refund is appropriate. Tax deductibility depends on applicable law and the donor’s circumstances. Donors should retain receipts and consult their own tax adviser.

Goods or services received

When a payment includes goods, services, admission, merchandise, or another benefit, only the amount exceeding the fair market value of that benefit may be deductible, if any. Ordinary product purchases generally are not charitable contributions.

Purchases, tickets, and fees

Books, apparel, merchandise, tickets, registrations, and related products may be sold or fulfilled by independent platforms such as Amazon, Shop Africa USA, payment processors, event providers, or other vendors. Pricing, taxes, shipping, delivery, returns, refunds, accessibility, account requirements, and transaction terms may be controlled by the applicable vendor.

ACD is not responsible for an independent vendor’s inventory, fulfillment, delivery, return decision, platform availability, or separate terms. Statements that a purchase “supports ACD” describe the intended relationship or proceeds arrangement and do not automatically make the purchase price tax-deductible.

User submissions

You retain ownership of original content you submit unless a separate written agreement states otherwise. By submitting content to ACD, you represent that you own or control the necessary rights, that the content is accurate to the best of your knowledge, and that its submission and use will not violate privacy, confidentiality, publicity, copyright, trademark, contractual, safeguarding, or other rights.

Unless a specific form or agreement provides different terms, you grant ACD a nonexclusive, worldwide, royalty-free license to review, store, reproduce, format, translate, edit for clarity and length, display, publish, distribute, archive, and promote the submitted content in connection with ACD’s mission, programs, reporting, fundraising, events, and communications. This license includes the right to use your submitted name, organization, biography, caption, and approved attribution. ACD does not have to publish or use any submission.

Do not submit confidential, embargoed, proprietary, medically sensitive, legally privileged, or security-sensitive material unless ACD has expressly agreed in writing to receive it.

Media, photographs, and story submissions

Stories, interviews, photographs, audio, video, testimonials, and community impact materials may require source verification, consent, releases, fact-checking, safeguarding review, and editorial changes. You are responsible for obtaining permissions from identifiable people, copyright owners, property owners, parents or guardians, and other rights holders where required.

ACD may decline, postpone, edit, unpublish, correct, label, or remove content for accuracy, safety, legal compliance, editorial quality, mission alignment, or community dignity. Publication does not create an employment, agency, partnership, or compensation relationship unless a separate written agreement states otherwise.

Intellectual property

ACD websites and materials may include text, reports, graphics, logos, trademarks, photographs, video, audio, designs, software, compilations, and other content owned by ACD, licensed to ACD, or used with permission. These materials are protected by applicable intellectual-property laws.

You may link to public ACD pages and make limited personal or educational use where legally permitted. You may not remove notices, reproduce substantial portions, create misleading derivative materials, sell or sublicense ACD content, register confusingly similar names or marks, or use ACD materials in advertising, political campaigning, fundraising, merchandise, or endorsement claims without written authorization.

Third-party websites and services

ACD websites may link to or embed independent services, including Amazon, Shop Africa USA, YouTube, social media, maps, event platforms, payment processors, forms, media players, and partner websites. Links are provided for convenience and do not necessarily constitute endorsement of every statement, product, practice, or policy of the third party.

Your use of an independent service is governed by that service’s terms and privacy practices. ACD is not responsible for third-party content, security, availability, transactions, or decisions.

No professional advice

Website content, events, publications, interviews, project information, grant guidance, and media materials are not legal, tax, medical, investment, accounting, engineering, security, or other professional advice. You should obtain advice from a qualified professional who understands your circumstances before acting on information that carries legal, financial, health, safety, technical, or regulatory consequences.

Disclaimers

To the fullest extent permitted by law, ACD websites, content, forms, and digital services are provided on an “as is” and “as available” basis. ACD disclaims warranties of merchantability, fitness for a particular purpose, title, noninfringement, accuracy, completeness, availability, security, and uninterrupted operation.

ACD does not warrant that any application will succeed, any project will achieve a particular result, any event or program will occur as initially announced, any external link will remain available, or any content will be error-free. Nothing in these Terms excludes warranties that cannot lawfully be excluded.

Limitation of liability

To the fullest extent permitted by law, ACD and its directors, officers, employees, volunteers, contractors, advisers, affiliates, and representatives will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; loss of data, opportunity, goodwill, revenue, or profits; or harm arising from reliance on website content, third-party services, unauthorized access, service interruption, or participation decisions.

Where liability cannot be excluded, ACD’s aggregate liability arising from your use of the website will not exceed the greater of the amount you paid directly to ACD for the specific digital service giving rise to the claim during the preceding twelve months or one hundred U.S. dollars, except where applicable law requires a different result. These limitations do not apply to liability that cannot lawfully be limited.

Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless ACD and its directors, officers, employees, volunteers, contractors, advisers, affiliates, and representatives from claims, losses, liabilities, damages, judgments, costs, and reasonable legal fees arising from your unlawful use of an ACD service, your violation of these Terms, your submission, or your infringement of another person’s rights.

Suspension, rejection, and termination

ACD may restrict, suspend, reject, remove, or terminate access, participation, submissions, applications, registrations, or relationships when reasonably necessary to protect people, systems, communities, legal compliance, program integrity, or ACD’s mission. We may preserve records and cooperate with authorities where required or appropriate.

Provisions that by their nature should survive termination—including intellectual property, licenses, disclaimers, liability limits, indemnification, governing law, and dispute provisions—will continue to apply.

Governing law and disputes

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles, except where another law must apply. Before filing a claim, you agree to contact ACD and make a good-faith effort to resolve the matter informally.

Unless applicable law requires otherwise, disputes arising from these Terms or an ACD-controlled website will be brought in the state or federal courts located in New York County, New York, and the parties consent to those courts’ jurisdiction. Nothing in this section prevents ACD from seeking urgent protective or injunctive relief where appropriate.

Changes to these terms

We may update these Terms to reflect changes in law, technology, services, programs, transactions, or organizational practices. The revised Terms will be posted on this page with a new effective date. Continued use after the effective date constitutes acceptance of the updated Terms to the extent permitted by law.

If any provision is found unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will continue in effect. ACD’s failure to enforce a provision is not a waiver. These Terms, together with applicable additional terms and the Privacy Policy, constitute the agreement governing use of the relevant ACD service.
